Terms of business

A summary of how we usually work. Every project is governed by the written proposal and any agreement we sign together, which take precedence over this page.

Last updated 16 October 2026

1. Who we work with

Palm Leaves Agency (“we”) provides services to businesses and organisations (“you”), not to consumers.

2. Scope, quotes and changes

Each project is defined by a written proposal setting out scope, deliverables, cost, payment milestones and a planned timeline. Changes to scope are agreed in writing before work on them starts, with any effect on cost and timeline stated.

3. Payment

We invoice in line with the milestones and payment terms in your proposal. Monthly care plans and retainers are usually invoiced in advance. We may pause work on overdue accounts after letting you know.

4. Your responsibilities

You provide content, feedback, approvals and access to systems in good time, and confirm you have the right to use any material you give us. Delays on your side may move delivery dates.

5. Ownership

Once you have paid for the work, you own the code, designs and content we create for you. Third-party software, fonts, plugins and services remain under their own licences, which we will tell you about. Accounts for hosting, domains and services are set up in your name wherever possible. We describe your work in our portfolio only with your permission.

6. Support after launch

After launch we help you settle in and fix defects in our work that stop it working as agreed; the details are set out in your proposal. Ongoing support is available under a care plan.

7. Confidentiality and data protection

Each of us keeps the other’s confidential information confidential. Where we process personal data on your behalf, we do so under a data processing agreement where the law requires one.

8. Liability

Unless your agreement says otherwise, our total liability under a project is limited to the fees paid for that project, and neither of us is liable for indirect or consequential loss, or loss of profit, revenue or data. Nothing here limits liability that cannot be limited by law.

9. Ending a project

Either of us may end a project if the other seriously breaches the agreement and does not put it right within a reasonable time after being told. You pay for work done up to the end date, and we hand over everything completed. Care plans and retainers end as set out in your proposal.

10. Governing law

The law that applies, and where disputes are resolved, is set out in your proposal or agreement.
